TERMS AND CONDITIONS FOR RECRUITERS USING Goldstar-global
For your convenience, we have provided a few simple statements we trust you will actually read, since they do represent a binding agreement between you and Goldstar-global.com.

1) Authority. The use of Goldstar-global and its services is a privilege. Goldstar-global reserves the right to suspend that privilege on an individual basis for any reason.

2) Copyright. All Content on the Site, including the job and resume databases, is the sole property of Goldstar-global, and is protected by U.S. copyright and international treaties. You may not reproduce, modify, display, sell, or distribute the Content, or use it in any other way for public or commercial purpose. This includes copying or adapting the HTML code used to generate Web pages on Goldstar-global.

3) Liability. Goldstar-global makes no guarantees and assumes no responsibility for the content or conduct of its users, nor for the content and operation of the Web site. Use of Goldstar-global, reliance upon its content, and interaction with its users is at your own risk. Goldstar-global does not guarantee that documents posted by users will result in candidates being hired or positions being filled.

4) Personnel/Resumes. Recruiter Partner agrees to furnish the professional resumes of personnel to be assigned to Goldstar-global. Projects when requested to do so. Goldstar-global or its client shall have the right to interview all Recruiter Partner proposed personnel prior to start of work. Recruiter Partner represents and warrants to Goldstar-global that all of its personnel provided hereunder are authorized to work in the United States of America. The Recruiter Partner shall take all steps necessary to comply with the Immigration and Naturalization Act of 1990 and all other statutes, laws and regulations governing the employment of aliens and all other individuals.

   Goldstar-global will honor all presented candidates/resumes for open positions as intellectual property of the submitted recruiting firm for a period two years from the date of submission. If Goldstar-global has the candidate in its database or has received the resume from another recruiting firm, Goldstar-global has the right to notify the submitting firm of the same within two business days(48 hours) from the time of submission.

5) Services. Work to be performed by Recruiter Partner's personnel shall be described in the task order under "Scope of work." If for any reason Goldstar-global or its client is dissatisfied with a particular individual provided by Recruiter Partner , Recruiter Partner will remove such person immediately and if requested by Goldstar-global , replace said person immediately.

6) payroll / Contracting.Whenever possible, Goldstar-global will maintain contracted consultants as employees or sub-contracted consultants to Goldstar-global LLC. Goldstar-global will be responsible for payment of payroll, state and federal employee related taxes, workman's compensation and benefits when appropriate. Arrangements for contracted consultants who do not become Goldstar-global employees is explained in fees commission below.

7) Fees / Commissions. A Participating Recruiter Partner should submit contact/consultant candidate with the required rate of that specific candidate, without adding commission to the rate. Goldstar-global will offer an hourly rate commission rate payable to the Recruiter Partner based on the margin available. The Recruiter Partner will be paid commission within 30 days of the last calendar day of each month invoiced.

   Certain placements may dictate that a contractor consultant become the employee or sub-contractor of a Recruiter Partner and not of Goldstar-global. In this event Goldstar-global will negotiate a fair hourly commission. The participating partner must submit the hours for said consultant within three business days at the conclusion of each month. Goldstar-global will invoice for the appropriate commissions due based on the time-sheets presented.

   For Permanent placement made between Goldstar-global and Participating Recruiter Partners, both parties agree to split the commission on a fair fifty percent and fifty percent basis. Whenever two Recruiter Partners are successful in placing a permanent employee whereby Goldstar-global did not submit the originating job order or provide the candidate , each Recruiter Partner will still receive the split commission of fifty/fifty, however each partner will pay a $250.00 service fee to Goldstar-global.

   For the submittal of any hourly contracting job order, the originating Recruiter Partner will be paid a fifteen percent commission, based on net income. Net income shall be defined as the net amount after deducting hourly rate paid to consultant, state and federal taxes, workman's compensation, benefits and any other related payroll expenses.

   Should Goldstar-global be unable to collect on specific hours worked by any consultant or fees from clients for permanent placement or contracting services, Goldstar-global will have no obligation to pay related commissions to the participating Recruiter Partner.

8) Payroll services. Goldstar-global may agree under certain circumstances to fund payroll for participating Recruiter Partner. Terms of this arrangement will require credit approval of the client served, the holding of all invoices as security , payment of invoices directly to Goldstar-global, a business and personal guarantee by the Recruiter Partner, and 2.9% fee of the amount invoiced.

9) Agree To Not Compete. The Recruiter Partner agrees to not solicit existing Goldstar-global clients for job orders, unless proof can be made that a pre-existing contracted relationship is in place.
